Terms of Service

Last updated September 30, 2026

  1. 1.Who we are

These Terms of Service (the “Terms”) govern access to and use of GeoKy (the “Service”), provided by [Company name], with registered office at [Registered office], VAT number [VAT number] (“we”, “us”).

The Terms include the subscription conditions set out below and the Data Processing Agreement published on this website on the “Data Processing Agreement” page, which forms an integral part of them. The Customer accepts them when purchasing a subscription or, if earlier, when first using the Service.

  2. 2.Who can use the Service

The Service is intended exclusively for businesses and professionals acting for purposes related to their trade, business or profession. It is not offered to consumers. By accepting these Terms you confirm that you act on behalf of a business and have authority to bind it (the “Customer”).

Access is currently by invitation: accounts are created by us or through an onboarding flow we provide. The Customer keeps its credentials confidential and is responsible for all activity carried out through its accounts.

  3. 3.What the Service does

GeoKy measures and helps improve how a brand is represented in the answers of AI engines. To do so, the Service submits queries to third-party AI engines, analyses their answers and produces indicators, reports and recommendations.

AI engine answers change over time and are outside our control. Indicators, reports and recommendations are estimates generated in part by AI models: they may contain inaccuracies, are provided for information purposes and do not guarantee any specific ranking, visibility or business result. The Customer remains responsible for the decisions it takes on the basis of them.

We may update and change features of the Service. If a change materially reduces the Service included in a paid plan, we will inform the Customer in advance.

  4. 4.Subscriptions and tokens

The Service is offered through subscription plans. The price, the included entitlements (such as tracked prompts, engines, workspaces and seats) and the monthly token allowance of each plan are those shown at the time of purchase.

Tokens are the unit consumed by the simulations the Service runs. Additional tokens can be purchased as one-off top-ups. When the available tokens run out, the operations that consume them are paused until new tokens are available: additional consumption is never charged without a purchase by the Customer.

Subscriptions are billed monthly and renew automatically at the end of each period until cancelled.

  5. 5.Payment and invoicing

Payments are processed by Stripe with the payment methods offered at checkout. We do not store card numbers or full bank account details.

VAT and other taxes are applied where due under applicable law. The Customer provides the tax data needed for invoicing (for Italian customers: VAT number or tax code, and SDI code or certified email address) and keeps it up to date.

If a payment fails, we notify the Customer. If the amount remains unpaid, we may suspend access to the Service and, if non-payment persists, terminate the subscription.

  6. 6.Plan changes

The Customer may switch to another plan. The plan change takes effect, and any price difference is charged or credited, as indicated at the time of the change.

  7. 7.Cancellation and refunds

The Customer may cancel the subscription at any time, from the billing settings where available or by writing to [Contact email]. Cancellation takes effect at the end of the current billing period, until which the Service remains available.

Amounts already paid, including those for unused tokens, are not refunded, except where required by law. As the Service is intended for businesses, the consumer right of withdrawal does not apply.

  8. 8.Data after the subscription ends

When the subscription ends, the Customer may request the export of its data by writing to [Contact email] within 30 days. In any case, the personal data processed on the Customer’s behalf are deleted within 60 days of the end of the subscription, unless the law requires them to be kept. Our own invoices and accounting records are kept for as long as the law requires.

  9. 9.Customer data and privacy

The Customer retains all rights to the data and content it provides to the Service, and allows us to use them only to provide and maintain the Service.

When we process personal data on behalf of the Customer, we act as processor under the Data Processing Agreement. The processing for which we act as controller is described in the Privacy Policy.

  10. 10.Acceptable use

The Customer must not: use the Service in breach of the law or of third-party rights; attempt to access other customers’ data or to circumvent the security measures or usage limits of the Service; decompile or reverse engineer the Service, except where the law allows it; resell the Service or make it available to third parties without our written consent; enter unlawful content or special categories of personal data.

  11. 11.Intellectual property

The Service, its software, methods and indicators remain the property of [Company name] or its licensors. For the duration of the subscription, the Customer has a non-exclusive and non-transferable right to use the Service for its business purposes. The Customer may freely use the reports it obtains, including by sharing them with its own clients.

  12. 12.Third-party services

The Service relies on third-party providers, including the AI engines it queries. Their availability, behaviour and terms are outside our control: if a provider becomes unavailable or changes its service, the related features may be limited or modified.

  13. 13.Availability and support

We provide the Service with reasonable care, but we do not guarantee that it will be uninterrupted or error-free, and no service level is committed unless agreed in writing. We may interrupt the Service for maintenance or security reasons, keeping interruptions as short as possible.

Support is available by email at [Contact email].

  14. 14.Liability

To the extent permitted by law, our total liability under these Terms is limited to the amounts paid by the Customer for the Service in the 12 months preceding the event giving rise to the claim, and we are not liable for indirect damages or for loss of profits, revenue, data or reputation.

These limitations do not apply in case of wilful misconduct or gross negligence, or where the law does not allow them.

  15. 15.Suspension and termination

We may suspend access, with notice where possible, in case of serious breach of these Terms, unpaid amounts or a risk to the security of the Service. Either party may terminate the agreement for a serious breach by the other party that is not remedied within 15 days of a written notice.

  16. 16.Changes to these Terms

We may amend these Terms. We notify material changes by email or within the Service at least 30 days before they take effect; if the Customer does not accept them, it may cancel the subscription before that date. The version in force is always published on this website on the “Terms of Service” page.

  17. 17.Governing law and jurisdiction

These Terms are governed by Italian law. Any dispute falls under the exclusive jurisdiction of the courts of the place where [Company name] has its registered office.

  18. 18.Contact

[Company name], [Registered office], VAT number [VAT number]. Email: [Contact email].

  19. 19.Specific approval

The clauses of the following Articles are specifically approved by the Customer pursuant to Articles 1341 and 1342 of the Italian Civil Code by separately signing, including by electronic signature, an approval form, which is required before the subscription is activated: Article 4 (automatic renewal of the subscription); Article 7 (no refunds); Article 14 (limitation of liability); Article 15 (suspension and termination); Article 16 (unilateral changes to the Terms); Article 17 (jurisdiction).
